These terms govern your use of the DigiStar LLC website and any services provided under a proposal, statement of work, or other written agreement.
Acceptance of terms
By using this website or engaging DigiStar LLC for services, you agree to these terms. Project-specific agreements control if they conflict with these general terms.
Services and project scope
We provide software development, IT services, automation, AI consulting, integrations, and related digital services. Scope, deliverables, timing, assumptions, and fees will be defined in a written proposal or agreement. Changes may require revised pricing and timelines.
Client responsibilities
You agree to provide timely access, accurate information, approvals, content, credentials, and feedback reasonably required to perform the work. You are responsible for ensuring that materials and instructions you provide may legally be used.
Fees and payment
Fees, deposits, billing schedules, expenses, and payment terms are stated in the applicable project agreement. Late or unpaid amounts may result in paused work, delayed delivery, or termination. Unless otherwise stated, fees are non-refundable for work already performed.
Intellectual property
Each party retains ownership of materials, technology, and know-how it owned before the project. Upon full payment, ownership or licensing of project deliverables will be governed by the applicable written agreement. DigiStar LLC retains rights to reusable tools, frameworks, methods, and general knowledge that do not disclose confidential client information.
Confidentiality
Each party will use reasonable care to protect non-public confidential information received from the other and will use it only for the project or as legally required.
Third-party services
Projects may rely on third-party software, platforms, hosting, APIs, or AI services. Their availability, pricing, terms, security, and performance are controlled by their providers. You are responsible for applicable third-party accounts and charges unless a written agreement states otherwise.
Warranties and disclaimers
We will perform services in a professional and workmanlike manner. Except as expressly stated in writing, the website and services are provided “as is.” We do not guarantee uninterrupted operation, specific business results, or that every vulnerability or incompatibility will be eliminated.
Limitation of liability
To the fullest extent permitted by law, DigiStar LLC will not be liable for indirect, incidental, special, consequential, or lost-profit damages. Our total liability relating to a claim will not exceed the fees paid for the specific services giving rise to that claim during the six months before the event, unless a written agreement or applicable law requires otherwise.
Termination
Either party may terminate services as allowed by the applicable agreement. Upon termination, you remain responsible for fees and approved expenses for work performed through the termination date.
Changes and governing terms
We may update these website terms periodically. Continued website use after an update means you accept the revised terms. Applicable law and dispute provisions may be further defined in a project agreement.
